舜宇光學科技(集團)有限公司 • 2025 年報 61 Corporate Governance Report 企業管治報告 持續專業發展 為確保董事繼續在具備全面資訊及切合所需的 情況下對董事會作出貢獻,所有董事在本公司 的每個財政年度均需參與持續專業發展,發展 並更新其知識及技能,確保他們對本公司的業 務、運作及管治政策均有適當的理解,以及完 全知道自身在法規及普通法、上市規則、法律 及其他監管規定下的職責。本公司負責安排及 資助: (i) 新委任的董事在受委任時獲得全面、 正式兼特為其而設的就任須知;及 (ii) 所有董事 參與適合的持續專業發展,以內部培訓、研討 會或其他適當的課程形式組織。 截至二零二五年十二月三十一日止年度,每一 位董事,分別為王錟炯先生、王文杰先生、倪 文軍先生(均為執行董事)、王文鑒先生(非執 行董事)及馮華君先生、陳剛先生、湯蕙儀女 士(均為獨立非執行董事)均已向本公司確認參 與上市規則第 3.09F 、 3.09G 條所規定的持續專 業發展。 同時,本公司於二零二五年七月一日或其後 初任的董事(如倪文軍先生,獲委任為執行董 事,自二零二五年七月一日起生效,及程雲鳳 女士,獲委任為獨立非執行董事,自二零二六 年四月一日起生效)應在獲委任後 18 個月內完 成上市規則第 3.09H 條所規定的不少於 24 小時 的持續專業發展培訓。 截至二零二五年十二月三十一日止年度,倪文 軍先生已完成 15.5 小時的持續專業發展,並且 在下一個報告期間,其需要及期望完成至少 8.5 小時的持續專業發展。 自二零二六年四月一日起至最後可行日期,程 雲鳳女士已完成 1 小時的持續專業發展,並且 需要及期望在下一個報告期間及無論如何於其 獲委任日期起計 18 個月內完成至少 23 小時的持 續專業發展。 Continuous Professional Development To ensure Directors’ contribution to the Board remains informed and relevant, all Directors must participate in continuous professional development in each financial year of the Company, to develop and refresh their knowledge and skills for a proper understanding of the Company’s business, operations and governance policies and full awareness of their responsibilities under statute and common law, the Listing Rules, legal and other regulatory requirements. The Company arranges and provides funding for (i) a comprehensive, formal and tailored induction for newly appointed Directors upon appointment; and (ii) suitable continuous professional development for all Directors, to be organised in the form of in-house training, seminars or other appropriate courses. For the year ended 31 December 2025, each of the Directors, namely Mr. Wang Tan Jiong, Mr. Wang Wenjie, Mr. Ni Wenjun as executive Directors, Mr. Wang Wenjian as non-executive Director and Mr. Feng Hua Jun, Mr. Chen Gang and Ms. Thoeng Wai Yee Cheryl as independent non-executive Directors, respectively, has given their confirmation to the Company in respect of their participation in continuous professional development as required by Rules 3.09F and 3.09G of the Listing Rules. Meanwhile, first-time directors who are appointed to the Company on or after 1 July 2025 (i.e., Mr. Ni Wenjun, an executive Director who was appointed with effect from 1 July 2025 and Ms. Ching Wan Fung, an independent non-executive Director who was appointed with effect from 1 April 2026) shall complete no less than 24 hours of the continuous professional development within 18 months of the date of his/her appointment as required by Rule 3.09H of the Listing Rules. For the year ended 31 December 2025, Mr. Ni Wenjun completed 15.5 hours of continuous professional development and he is required and expected to complete at least 8.5 hours of continuous professional development during the next reporting period. From 1 April 2026 and up to the LPD, Ms. Ching Wan Fung has completed one hour of continuous professional development and she is required and expected to complete at least 23 hours of continuous professional development during the next reporting period and in any event, within 18 months from the date of her appointment.
