舜宇光學科技（集團）有限公司 • 2025 年報 135 Directors’ Report 董事會報告 (5) 王文杰先生為舜宇集團僱員海外信託的受益人， 實益擁有當中 3.54% 權益。根據《證券及期貨 條例》，彼作為信託受益人，被視為於舜宇集團 僱員海外信託所持全部股權中擁有權益。舜宇 集團僱員海外信託持有舜基全部已發行股本， 且舜基擁有舜旭 100.00% 股權，而舜旭擁有 389,811,927 股本公司股份。根據《證券及期貨 條例》，舜基作為控股股東被視為於舜旭所擁有 的全部股份中擁有權益。因此，根據《證券及期 貨條例》，王文杰先生被視為於舜旭所持有的股 份中擁有權益。 (6) 王文杰先生作為實益擁有人，持有根據限制性股 份獎勵計劃授出的 1,758,142 股股份。 (7 ） 倪文軍先生之配偶谷建英女士為舜宇集團僱員海 外信託的受益人，實益擁有當中 2.82% 權益。根 據《證券及期貨條例》，彼作為信託受益人，被 視為於舜宇集團僱員海外信託所持全部股權中擁 有權益。舜宇集團僱員海外信託持有舜基全部已 發行股本，且舜基擁有舜旭 100.00% 股權，而 舜旭擁有 389,811,927 股本公司股份。根據《證 券及期貨條例》，舜基作為控股股東被視為於舜 旭所擁有的全部股份中擁有權益。因此，根據 《證券及期貨條例》，作為谷建英女士之配偶， 倪文軍先生被視為於舜旭所持有的股份中擁有權 益。 (8) 倪文軍先生之配偶谷建英女士作為實益擁有人， 持有根據限制性股份獎勵計劃授出的 233,376 股 股份。 (9 ） 倪文軍先生作為實益擁有人，持有根據限制性股 份獎勵計劃授出的 15,222 股股份。 (10) 持股概約百分比以本公司於二零二五年十二月 三十一日發行的總股份數量（即 1,094,804,800 ） 為基準計算。 * Sun Guang Trust 的中文翻譯（「 舜光信託 」）僅供 識別之用。 除上文所披露者外，於二零二五年十二月 三十一日，概無董事及主要行政人員擁有本公 司或其任何相聯法團的任何股份、相關股份或 債券的任何權益或淡倉。 (5) Mr. Wang Wenjie is the beneficiary of the Sunny Group Employee Offshore Trust, under which he is entitled to 3.54% of the beneficial interests. As a beneficiary of the trust, he is deemed to be interested in all the equity interest that Sunny Group Employee Offshore Trust owns under the SFO. The Sunny Group Employee Offshore Trust owns the entire issued share capital of Sun Ji, and Sun Ji owns 100.00% equity interest in Sun Xu, which in turn owns 389,811,927 Shares of the Company. As a controlling shareholder, Sun Ji is deemed to be interested in all the Shares that Sun Xu owns under the SFO. Accordingly, Mr. Wang Wenjie is deemed to be interested in Shares held by Sun Xu under the SFO. (6) Mr. Wang Wenjie, as beneficial owner, owns 1,758,142 Shares, which were granted under the Restricted Share Award Scheme. (7) Ms. Gu Jianying, who is Mr. Ni Wenjun’s spouse, is the beneficiary of the Sunny Group Employee Offshore Trust, under which she is entitled to 2.82% of the beneficial interests. As a beneficiary of the trust, she is deemed to be interested in all the equity interest that Sunny Group Employee Offshore Trust owns under the SFO. The Sunny Group Employee Offshore Trust owns the entire issued share capital of Sun Ji, and Sun Ji owns 100.00% equity interest in Sun Xu, which in turn owns 389,811,927 Shares of the Company. As a controlling shareholder, Sun Ji is deemed to be interested in all the Shares that Sun Xu owns under the SFO. Accordingly, Mr. Ni Wenjun, as the spouse of Ms. Gu Jianying, is deemed to be interested in Shares held by Sun Xu under the SFO. (8) Ms. Gu Jianying, who is Mr. Ni Wenjun’s spouse, as beneficial owner, owns 233,376 Shares, which were granted under the Restricted Share Award Scheme. (9) Mr. Ni Wenjun, as beneficial owner, owns 15,222 Shares, which were granted under the Restricted Share Award Scheme.
