REPORT OF THE DIRECTORS 23 The United Laboratories International Holdings Limited Annual Report 2024 The Board is pleased to submit their report together with the audited consolidated financial statements for the year ended 31 December 2024. PRINCIPAL ACTIVITIES The Company is an investment holding company. Details of principal activities of the principal subsidiaries of the Company are set out in note 45 to the consolidated financial statements. SEGMENT INFORMATION An analysis of the Group’s revenue and segment information for the year ended 31 December 2024 is set out in note 5 to the consolidated financial statements. RESULTS AND DISTRIBUTIONS The Group’s results for the year ended 31 December 2024 are set out in the consolidated statement of profit or loss and other comprehensive income on pages 44 and 45 of this annual report. The Board recommends the payment of a final dividend of RMB28 cents per share and a special dividend of RMB12 cents per share respectively for the year ended 31 December 2024, subject to approval by the shareholders in the forthcoming annual general meeting. FINANCIAL SUMMARY A summary of the Group’s result, and of the assets and liabilities for the past five financial years are set out on page 152 of this annual report. PROPERTY, PLANT AND EQUIPMENT Details of movements in the property, plant and equipment of the Group during the year are set out in note 17 to the consolidated financial statements. SHARE CAPITAL Details of the share capital of the Company are set out in note 31 to the consolidated financial statements.
