Sunny Optical Technology (Group) Company Limited • ANNUAL REPORT 2025 86 Corporate Governance Report 企業管治報告 CORPORATE GOVERNANCE FUNCTION The Board adopted the terms of reference for the corporate governance functions on 22 December 2011, and complied with the code provision A.2.1 set out in part 2 of the Corporate Governance Code. Pursuant to the terms of reference of the corporate governance functions, the Board shall be responsible for formulating and reviewing the policies and practices on corporate governance of the Company annually to ensure the consistency with the amendments to the Listing Rules; reviewing and monitoring the training and continuous professional development of Directors and senior Management; reviewing and monitoring compliance with policies and practices in legal and regulatory requirements of the Company; developing, reviewing and monitoring the code of conduct and compliance manual applicable to employees and directors; and reviewing the Company’s compliance with the Corporate Governance Code and disclosure in the Corporate Governance Report. The Board has performed the above-mentioned corporate governance functions and this corporate governance report has been reviewed by the Board in discharge of its corporate governance functions. BOARD PERFORMANCE EVALUATION Pursuant to code provision B.1.4 set out in part 2 of the Corporate Governance Code, the Company shall conduct a formal evaluation of the Board’s performance at least once every two years. The performance review shall be sufficiently robust and involve the Board directly, with views and feedback also coming from stakeholders beyond the Board.
