Sunny Optical Technology (Group) Company Limited • ANNUAL REPORT 2025 74 Corporate Governance Report 企業管治報告 提名委員會的年度評估 提名委員會每年必須就每名董事對董事會投入 的時間及貢獻作出評估及披露,當中須考慮董 事的專業資格及工作經驗、現有上市發行人董 事職位及該董事其他重大外部事務所涉及的投 入時間以及其他與董事的個性、品格、獨立性 及經驗有關的因素或情況。 截至二零二五年十二月三十一日止年度,提名 委員會就每名董事對董事會投入的時間及貢獻 作出評估。提名委員會對所有董事採用統一的 評估標準,並確保進行公正的評估。就提名委 員會其中一名成員的評估,有關的提名委員會 成員已被排除在討論之外。 提名委員會遵循了一個結構化的程序,包括審 查個別董事的簡介、出席記錄、會議參與數據 及外部承諾,同時考慮董事會的總體需求。主 要評估標準包括: (i) 投入的時間因素,例如現 有上市發行人的董事職位數量、其他重大外部 角色(如全職工作、主要諮詢角色、公告服務 等),和專業工作量; (ii) 貢獻因素包括積極參與 討論、戰略輸入及履行受託責任; (iii) 熟悉及了 解本公司及其業務;及 (iv) 其他因素如董事的性 格、職業操守、獨立性及經驗。 根據評估,提名委員會的結論是,所有董事的 時間投入和對董事會整體的貢獻是充足的且所 有董事均能夠有效履行他們的職責。尤其是, 董事們 (i) 一貫出席並積極參與董事會和委員會 會議,準備充分,並從他(她)們的經驗和資格 中提供寶貴的見解;及 (ii) 通過披露任何利益衝 突和保密,繼續展示誠信和專業精神,培養道 德和有效的董事會文化。在報告期間獲委任的 董事均花費額外時間及精力學習及了解本公司 的業務模式及戰略目標。 ANNUAL NOMINATION COMMITTEE ASSESSMENT The Nomination Committee must annually assess and disclose its assessment of each Director’s time commitment and contribution to the Board, taking into consideration their professional qualifications and work experience, listed issuer directorships, other significant external time commitments and other factors or circumstances relevant to their character, integrity, independence and experience. For the year ended 31 December 2025, the Nomination Committee assessed each Director’s time commitment and contribution to the Board. The Nomination Committee applied consistent assessment criteria to all Directors in a holistic manner and ensured that an impartial assessment was conducted. In respect of an assessment of a member of the Nomination Committee, the relevant Nomination Committee member was excluded from discussion. The Nomination Committee followed a structured process that included reviewing individual director profiles, attendance records, meeting participation data, and external commitments, while considering the Board’s overall needs. Key assessment criteria encompassed: (i) time commitment factors such as number of directorships in listed issuers, significant external roles (e.g., full-time occupations, major consultancies, public service), and professional workload; (ii) contribution factors included active participation in discussions, strategic input and fulfillment of fiduciary duties; (iii) familiarity with and knowledge of the Company and its business; and (iv) other factors such as the Director’s character, integrity, independence and experience. Based on the assessment, the Nomination Committee concluded that all Directors’ time commitment and contribution to the Board (as a whole) were adequate and that they were able to discharge their responsibilities effectively. In particular, Directors (i) consistently attended and actively participated in Board and Committee meetings, coming well-prepared and providing valuable insights from their experience and qualifications; and (ii) continued to demonstrate integrity and professionalism by disclosing any conflicts of interest and maintaining confidentiality, fostering an ethical and effective Board culture. For Directors appointed during the reporting period, they have spent extra time and effort to learn and understand the Company’s business model and strategic objectives.
