PURCHASE, SALE OR REDEMPTION OF THE COMPANY’S SHARES The Company is empowered by the applicable Cayman Islands Companies Act and the Company’s articles of association (the “ Articles of Association ”) to repurchase the shares of the Company (the “ Shares ”) subject to certain restrictions and the Board may only exercise this power on behalf of the Company subject to any applicable requirements imposed from time to time by The Stock Exchange of Hong Kong Limited (the “ Hong Kong Stock Exchange ”). For the six months ended 30 June 2024, the Company repurchased a total of 1,970,000 Shares on the Hong Kong Stock Exchange pursuant to the general mandate granted by the Shareholders at the annual general meeting on 24 May 2023 (the “ General Mandate ”) and all such repurchased Shares were cancelled accordingly. Meanwhile, there were no Shares repurchased and held by the Company as treasury shares for the six months ended 30 June 2024. The Directors believe that the repurchase of Shares shall enhance the net value of the Group and its assets and/or earnings per share. It also reflected the confidence of the Board and the Management in the long-term strategy and growth of the Company. Details of the repurchase of Shares by the Company on the Hong Kong Stock Exchange under the General Mandate for the six months ended 30 June 2024 were set out below.
