127 舜宇光學科技（集團）有限公司 • 2021 年報 Directors’ Report 董事會報告 The Group’s subsidiaries in the PRC, in compliance with the applicable regulations of the PRC, participate in a state-managed retirement benefits scheme operated by the local government. The subsidiaries are required to contribute a specific percentage of their payroll costs to the retirement benefits scheme. The only obligation of the Group with respect to the retirement benefits scheme is to make the specified contributions. For the year ended 31 December 2021, the total amounts contributed by the Group to the schemes and costs charged to the consolidated income statement represent contribution payable to the schemes by the Group at designated rates according to the rules of the schemes. Details of the retirement benefit scheme operated by the Group are set out in Note 39 to the consolidated financial statements in this annual report. PRE-EMPTIVE RIGHTS There are no provisions for pre-emptive rights under the Company’s Articles of Association, or the laws of Cayman Islands, which would oblige the Company to offer new shares on a pro-rata basis to existing Shareholders. SUFFICIENCY OF PUBLIC FLOAT Based on information that is publicly available to the Company and within knowledge of its Directors at the latest practicable date prior to the issue of this annual report, the Company has maintained a sufficient public float throughout the year ended 31 December 2021. AUDITORS A resolution will be proposed at the AGM to re-appoint Deloitte as auditors of the Company.
