舜宇光學科技（集團）有限公司 • 2019 年報 49 Directors and Senior Management 董事及高級管理層 Non-executive Director Mr. Wang Wenjian ( 王文鑒 ), aged 72, former Chairman of the Board, executive Director and Chief Executive Officer, is one of the founders of the Group, and currently is a non-executive Director and the Honorary Chairman of the Board. Mr. Wang joined the Yuyao County Chengbei Optical Instruments Factory in 1984 as factory manager and became its general manager since 1994 when it was transformed to a joint stock limited liability company. Mr. Wang obtained the title of “Outstanding Entrepreneur” from Ningbo Entrepreneurs Association and Ningbo Enterprise Unite League in 2006 and was granted the “Ningbo Excellent Entrepreneur Award” ( 寧波市卓越企業家獎 ) by the Personnel Office under Ningbo Municipal Party Committee in 2015. Mr. Wang was awarded the title of “Excellent Entrepreneurs ( 卓越甬 商 )” in the “40 th Anniversary of Reform and Opening, Entrepreneurs of Time ( 改革開放 40 周年 • 時代甬商 )” by the Ningbo City Government in November 2018. Mr. Wang acted as the Honorary President of Yuyao Charity Federation in 2003 and was appointed as a guest professor of the College of Information Science and Engineering, Zhejiang University in 2005. He obtained a qualification of senior economist in 1996 from Ningbo Municipal Government. Senior economist is a recognised qualification in the PRC and is generally granted to a person who has passed necessary examinations and has acquired substantial management experience. Mr. Wang was redesignated as a non-executive Director in March 2012. Independent Non-executive Directors Mr. Zhang Yuqing ( 張余慶 ), aged 72, is an independent non-executive Director and the chairman of Audit Committee. Mr. Zhang has worked in MBCloud (Shenzhen) Information Technology Co., Ltd. ( 招銀雲 創（深圳）信息技術有限公司 ) as finance-in-charge since May 2017. Mr. Zhang worked in Shanghai Port Bureau as heads of the financial division as well as the auditing division. He was also appointed as a director of Shanghai Worldbest Industry Development Co., Ltd. from 2001 to 2003 and acted as its chief financial officer. Mr. Zhang graduated from Shanghai Maritime University in 1982 with a bachelor’s degree in economics and is a senior accountant and a non-practicing member of the Chinese Institute of Certified Public Accountants. He has been an independent non-executive Director of the Company since May 2007. 非執行董事 王文鑒先生， 72 歲，前任董事會主席、執行 董事兼行政總裁，為本集團的創辦人之一，現 任非執行董事兼董事會名譽主席。王先生於 一九八四年加入餘姚縣城北光學儀器廠，任職 工廠廠長，自一九九四年該公司轉制為股份有 限公司後擔任總經理。王先生於二零零六年獲 寧波市企業家協會與寧波市企業聯合會頒發 「優秀創業企業家」稱號，並於二零一五年獲寧 波市委人才辦頒發的「寧波市卓越企業家獎」及 於二零一八年十一月獲評寧波市政府「改革開 放 40 周年 • 時代甬商」之「卓越甬商」的稱號。 王先生於二零零三年擔任餘姚市慈善總會榮譽 會長，並於二零零五年被聘請為浙江大學信息 科學與工程學院客座教授。其於一九九六年獲 寧波市人民政府頒發高級經濟師資格。高級經 濟師為中國的認可職稱，一般授予通過必需考 核及具備豐富管理經驗的人士。王先生於二零 一二年三月調任為非執行董事。 獨立非執行董事 張余慶先生， 72 歲，獨立非執行董事兼審核委 員會主席。張先生於二零一七年五月起出任招 銀雲創（深圳）信息技術有限公司的財務負責 人。張先生曾於上海港務局出任財務處及審計 處處長，且於二零零一年至二零零三年間獲委 任為上海華源企業發展股份有限公司董事，並 出任財務總監。張先生於一九八二年畢業於上 海海運學院，取得經濟學學士學位，為高級會 計師，並為中國註冊會計師協會非職業委員。 其自二零零七年五月起擔任本公司之獨立非執 行董事。
