RESTRICTED SHARE AWARD SCHEME On 22 March 2010 (the “adoption date”), the Board has adopted the Restricted Share Award Scheme. Pursuant to the Restricted Share Award Scheme, the Directors, all employees, senior staff, agents and consultants of the Company and its subsidiaries are entitled to participate in this scheme. The purpose of the Restricted Share Award Scheme is to assist the Company in attracting new talents as well as motivating and retaining its current staff. The Restricted Share Award Scheme shall be effective from the adoption date and shall continue in full force and effect for a term of 10 years and be managed by its administrative committee and the trustee. Details of the Restricted Share Award Scheme could be found in the Note 19 of the condensed consolidated financial statements. As of 30 June 2012, an aggregate of 47,725,750 shares have been issued for qualified participants in accordance with the Restricted Share Award Scheme since the adoption date, accounting for 4.773% of the shares of the Company in issue. Pursuant to the Restricted Share Award Scheme, the Company shall transfer cash to the trustee from time to time for the acquisition of shares (“restricted shares”) to be held upon trust for the benefits of the selected participants. Shares granted to the selected participants are subject to restrictions and limitations and will become unrestricted upon vesting at the end of each vesting period. No shares shall be granted under the scheme if the number of shares granted at any time during the scheme period has exceeded 10% of the 1,000,000,000 issued shares of the Company as at the adoption date (i.e.,100,000,000 Shares). Apart from the expenses incurred by the trustee attributable or payable in connection with the vesting of the restricted shares which shall be borne by the selected participants, vested shares shall be transferred at no cost to the selected participants. C. 受限制股份獎勵計劃 於二零一零年三月二十二日(「採納日期」), 董事會採納受限制股份獎勵計劃。根據受限 制股份獎勵計劃,本公司及其附屬公司之董 事、全體僱員、高級職員、代理及顧問均有 權參與該計劃。該計劃之目的為協助本公司 吸納新人、激勵及挽留現有人才。該計劃由 採納日期起生效,並持續生效十年,由該計 劃之管理委員會及受託人管理。受限制股份 獎勵計劃之詳請載於簡明綜合財務報表附註 19 。自採納日期起,截至二零一二年六月三 十日止累計 47,725,750 股股份根據受限制股 份獎勵計劃授予合資格參與者,佔本公司已 發行股份之 4.773% 。 根據受限制股份獎勵計劃,本公司將不時向 受託人轉讓現金購買以信託方式代經挑選 參與者作為受益人而持有之股份(「限制性 股份」)。向經挑選參與者授出之限制性股 份有其限制和約束性,並將於各歸屬期結 束時成為無限制。倘若於計劃期間任何時 間所授出股份數目若超過本公司於採納日 期 1,000,000,000 股 已 發 行 股 份 之 10% (即 100,000,000 股股份),則不得根據該計劃授 出任何限制性股份。經挑選參與者除須支付 受託人因歸屬限制性股份而引致或應付之開 支外,將獲無償轉讓經歸屬股份。
