Sunny Optical Technology (Group) Company Limited 舜宇光學科技（集團）有限公司 / Annual Report 2009 年報 75 Directors’ Report 董事會報告 關連交易 根據上市規則規定，於綜合財務報表附註 34 披露 的若干關連人士交易亦屬持續關連交易，須按上 市規則第 14A 章於本報告披露。截至二零零九年 十二月三十一日止年度，本集團曾與下列關連公 司及機構進行若干業務交易： (a) 由於業務增長及採取專注發展光學與相關產 品核心業務的政策，本集團根據於二零零七 年一月一日所訂立的產品銷售協議，向餘姚 市興邦光電儀器有限公司採購及出售分別約 人民幣 2,940,000 元及人民幣 457,000 元的原 料。 (b) 上海舜宇恒平科學儀器有限公司，寧波舜宇 儀器有限公司，寧波舜宇光電信息有限公 司，寧波舜宇紅外技術有限公司及浙江舜宇 光學有限公司亦根據於二零零八年十月八日 所訂立的設施租賃協議，向舜宇集團租用若 干設施物業作一般商業活動及配套用途，全 年租金約人民幣 3,881,000 元。 (c) 上海舜宇恒平科學儀器有限公司根據於二零 零八年七月二十五日所訂立的分銷協議，向 上海雙圈科學儀器有限公司（「雙圈」）銷售科 學儀器全年約人民幣 1,046,000 元。雙圈主要 從事科學儀器分銷及銷售，擁有完善的分銷 網絡及能力。委任雙圈為產品分銷商是本集 團善用雙圈有價值之資源的良好機會，可提 升本集團營業額、盈利能力及中國市場佔有 率。 (d) 由於業務增長及採取專注發展光學與相關產 品核心業務的政策，故此本集團根據於二零 零七年一月一日所訂立的產品銷售協議，向 餘姚市興立光學器材廠購買原料全年約人民 幣 1,119,000 元。 CONNECTED TRANSACTIONS Certain related party transactions as disclosed in Note 34 to the consolidated financial statements also constituted continuing connected transactions under the Listing Rules which are required to be disclosed in this report in accordance with Chapter 14A of the Listing Rules. During the year ended 31 December 2009, the Group has carried out certain business transactions with the following connected companies and entities: (a) Given the growth in business and the Group’s policy to concentrate on core business of optical and optical related products, the Group purchased and sold raw materials from/to Yuyao City Xingbang Optoelectronic Instruments Company Limited pursuant to the Product Sale Agreements dated on 1 January 2007 amounting to approximately RMB2,940,000 and RMB457,000 respectively. (b) Shanghai Sunny Hengping Scientific Instrument Company Limited, Ningbo Sunny Instruments Co., Ltd., Ningbo Sunny Opotech Co., Ltd., Ningbo Sunny Infrared Technologies Company Ltd. and Zhejiang Sunny Optics Co., Ltd. leased certain facilities properties for general business and ancillary uses from Sunny Group pursuant to the Facilities Tenancy Agreements entered on 8 October 2008 amounting to approximately RMB3,881,000 throughout the year. (c) Shanghai Sunny Hengping Scientific Instrument Company Limited sold scientific instruments to Shanghai Shuangquan Scientific Instruments Company Limited (“Shuangquan”) pursuant to the Distribution Agreement dated on 25 July 2008 amounting to approximately RMB1,046,000 throughout the year. Shuangquan is principally engaged in the distribution and selling of scientific instruments and possesses a well-established distribution network and capabilities. The appointment of Shuangquan as a distributor of the products is a good opportunity for the Group to take advantage of their valuable resources, thereby enhancing the Group’s turnover, profitability and market presence in the PRC. (d) Given its growth in business and the Group’s policy to concentrate on core business of optical and optical related products, the Group purchased raw materials from Yuyao City Xingli Optics Instruments Factory pursuant to the Product Sale Agreements dated 1 January 2007 amounting to approximately RMB1,119,000 throughout the year.
