Sunny Optical Technology (Group) Company Limited 舜宇光學科技（集團）有限公司 / Annual Report 2009 年報 68 Directors’ Report 董事會報告 董事服務合約 所有執行董事已與本公司訂立服務合約，自二零 零七年五月十八日起計初步為期三年。惟不得於 上市日期起計十二個月內終止服務合約。 除 Michael David Ricks 先生及孫泱先生的服務合 約自二零零七年九月三十日及二零零九年五月十 五日起外，所有非執行董事的任期自二零零七年 五月十八日起計初步為期三年，而獨立非執行董 事的委任期自二零零七年五月十八日起計初步為 期三年。 擬於應屆週年股東大會上重選連任的董事中無人 與本公司簽訂本集團於一年之內在無賠償（法定 賠償除外）的情況下不可終止之服務合同。 DIRECTORS’ SERVICE CONTRACTS Each of the executive Directors has entered into a service contract with the Company for an initial term of three years commencing from 18 May 2007. The service contract shall not be terminated within 12 months since the date of Listing. Each of the non-executive Directors is appointed for an initial term of three years commencing from 18 May 2007, except Mr. Michael David Ricks and Mr. Sun Yang whose service contracts were commencing from 30 September 2007 and 15 May 2010 respectively, and each of the independent non-executive Directors is appointed for initial term of three years commencing from 18 May 2007. No Director proposed for re-election at the forthcoming AGM has a service contract with the Company which is not determinable by the Group within one year without payment of compensation, other than normal statutory compensation.
