Sunny Optical Technology (Group) Company Limited 舜宇光學科技（集團）有限公司 / Annual Report 2009 年報 64 Directors’ Report 董事會報告 The Directors are pleased to present the 2009 Annual Report, including the audited consolidated (or combined) financial statements for the year ended 31 December 2009. CORPORATE REORGANISATION The Company was incorporated as a limited company in Cayman Islands on 21 September 2006. Pursuant to a reorganisation scheme to rationalise the structure of the Group in preparation for the public listing (the “Listing”) the Company’s shares on the Stock Exchange of Hong Kong Limited (the “Stock Exchange”), the Company became the holding company of the companies now comprising the Group on 24 October 2006. Details of the reorganisation were set out in the prospectus dated 4 June 2007 issued by the Company. The shares of the Company were listed on the Stock Exchange with effect from 15 June 2007. The Company issued 200,000,000 shares with a nominal value of HK$0.1 each, at a price of HK$3.82 per share by a way of the Global Offering to Hong Kong and overseas investors. The consideration received by the Company for the issue was HK$764.0 million. PRINCIPAL ACTIVITIES The Company acts as an investment holding company.
