Sunny Optical Technology (Group) Company Limited 舜宇光學科技(集團)有限公司 / Annual Report 2009 年報 33 Management Discussion and Analysis 管理層討論與分析 Cash Flow Interest Rate Risk The Group’s cash flow interest rate risk relates primarily to variable rates of bank deposits which are all short-term in nature. Therefore, any future variations in interest rates will not have any significant impact on the results of the Group. Liquidity Risk The Group manages liquidity risk by maintaining adequate level of cash and cash equivalents by continuously monitoring forecast and actual cash flows and matching the maturity profiles of financial assets and liabilities. EMPLOYEE AND REMUNERATION POLICY The Group had a total of 6,900 dedicated full time employees as of 31 December 2009, including 1,002 management and administrative staffs, 5,757 production staffs and 141 operation supporting staffs . In line with the Group’s and individual performance, a competitive remuneration package is offered to retain elite employees including salaries, medical insurance, discretionary bonuses, other benefits as well as mandatory provident fund scheme for employees in Hong Kong and state-managed retirement benefit scheme for employees in the PRC. The Group has also adopted a share option scheme for its employees, providing incentives and rewards to eligible participants with reference to their contribution. For the financial year ended 31 December 2009, no share option was granted or agreed to be granted by the Group under the scheme. DIVIDEND The Directors recommended a payment from the distributable reserves of the Company a final dividend of RMB0.02 (equivalent to approximately HK$0.0227) per share in respect of the year ended 31 December 2009 to the shareholders whose names appear on the register of members of the Company at the close of business on 11 May 2010. The final dividend, payable on 25 May 2010, is subject to the approval of the shareholders of the Company at the forthcoming Annual General Meeting (“AGM”) to be held on 17 May 2010. 現金流量利率風險 本集團的現金流量利率風險主要與短期銀行存款 的可變利率有關。因此,日後任何利率升跌不會 對本集團業績有重大影響。 流動資金風險 本集團持續監察預測及實際現金流量水準,並會 配對各項金融資產與負債的到期狀況,以維持足 夠的現金及現金等值項目,控制流動資金風險。 僱員和薪酬政策 於二零零九年十二月三十一日,本集團擁有 6,900 名全職僱員,包括 1,002 名管理和行政人 員, 5,757 名生產人員和 141 名營運支持人員。 為挽留傑出人才,本集團根據公司整體及員工的 個別表現,向僱員提供具競爭力之薪酬福利,包 括薪資、醫療保險、酌情花紅、其他員工福利、 強制性公積金計劃(香港)及國家管理退休福 利計劃(國內)等。本集團亦採納一項購股權計 劃,旨在為對本集團有貢獻的合資格者提供鼓勵 和獎勵。截至二零零九年十二月三十一日止年度 期間,本集團並無根據計劃向任何人士授出或同 意授出購股權。 股息 董事建議就截至二零零九年十二月三十一日止年 度自本公司可分派儲備向二零一零年五月十一日 營業時間結束時名列本公司股東登記名冊之股 東支付末期股息每股人民幣 0.02 元(約 0.0227 港 元)。有關末期股息須於二零一零年五月二十五 日支付,惟須於二零一零年五月十七日舉行之應 屆股東週年大會取得本公司股東批准。
