Group Reorganisation and Basis of Presentation of Consolidated Financial Statements The Company was incorporated in the Cayman Islands on 21 September 2006 as an exempted company under the Companies Law Chapter 21 (Law 3 of 1961 as consolidated and revised) of the Cayman Islands and its shares have been listed on the Stock Exchange of Hong Kong Limited with effect from 15 June 2007. Its ultimate holding and parent company is Sun Xu Limited, a private limited company incorporated in the British Virgin Islands. The address of the registered office is located at Codan Trust Company (Cayman) Limited, Cricket Square, Hutchins Drive, PO Box 2681 GT, George Town, Grand Cayman, British West Indies and its place of business is located at Unit 603, 6th Floor, Grand City Plaza, 1–17 Sai Lau Kok Road, Tsuen Wan, New Territories, Hong Kong. Under a group reorganisation scheme to rationalise the structure of the Group in preparation for the Listing of the Company’s shares on the Stock Exchange of Hong Kong Limited, the Company became the holding company of the Group on 24 October 2006. Details of the group reorganisation were set out in the prospectus issued by the Company, dated 4 June 2007. The consolidated financial statements are presented in Renminbi (“RMB”), the currency of the primary economic environment in which the principal subsidiaries of the Company operate (the functional currency of the principal subsidiaries). 1. 集團重組及綜合財務報表 呈報基準 本公司於二零零六年九月二十一日在 開曼群島根據開曼群島公司法第 21 章 （一九六一年第三條法例，經綜合及修 訂）註冊成立為獲豁免公司，其股份自 二零零七年六月十五日起在香港聯合交 易所有限公司上市，最終控股及母公司 為一間於英屬處女群島註冊成立的私人 有限公司舜旭有限公司。註冊辦事處位 於 Codan Trust Company (Cayman) Limited, Cricket Square, Hutchins Drive, PO Box 2681 GT, George Town, Grand Cayman, British West Indies ，而營業地點位於香港 新界荃灣西樓角路 1–17 號新領域廣場 6 樓 603 室。根據集團重組計劃整頓本集團架 構以籌備本公司股份在香港聯合交易所 有限公司上市，本公司於二零零六年十 月二十四日成為本集團的控股公司。集 團重組詳情載於本公司於二零零七年六 月四日刊發的售股章程。 綜合財務報表以本公司主要附屬公司經 營所在的主要經濟環境貨幣（主要附屬公 司的功能貨幣）人民幣呈列。
