Directors’ Report 董事會報告 64 Sunny Optical Technology (Group) Company Limited 舜宇光學科技（集團）有限公司 Pre-Emptive Rights There are no provisions for pre-emptive rights under the Company’s Articles of Association, or the laws of Cayman Islands, which would oblige the Company to offer new shares on a prorata basis to existing shareholders. Sufficiency of Public Float Based on information that is publicly available to the Company and within knowledge of its directors at the latest practicable date prior to the issue of the Annual Report, the Company has maintained a sufficient public float throughout the period from 15 June 2007, being the date of Listing to 31 December 2007. Post Balance Sheet Events Details of significant events occurring after the balance sheet date are set out in note 30 to the consolidated financial statements. Use of Proceeds from The Public Offering As of 31 December 2007, the Group only utilised approximately of RMB260.9 million out of the proceeds from the Global Offering. To the extent that the net proceeds from the Company’s Global Offering are not immediately required for the purposes mentioned in the Company’s Prospectus dated on 4 June 2007, they were placed on short term interest bearing-deposits with licensed banks in Hong Kong. Auditors A resolution will be submitted to the annual general meeting to re-appoint Messrs. Deloitte Touche Tohmatsu as auditors of the Company.
