Directors’ Report 董事會報告 62 Sunny Optical Technology (Group) Company Limited 舜宇光學科技（集團）有限公司 Connected Persons (i) Mr Wang is the Chairman of the Board and an executive Director and Yuyao City Jiahua Optoelectronic Components Factory is wholly- owned by the spouse of his sister, an associate. Accordingly, Yuyao City Jiahua Optoelectronic Components Factory is a connected person of the Company. (ii) Mr Wu is an executive Director and Yuyao City Urban Fanxing Electrical Appliance Factory is wholly-owned by the nephew of his spouse, an associate. Accordingly, Yuyao City Urban Fanxing Electrical Appliance Factory is a connected person of the Company. (iii) Mr Wu i s a n e x e c u t i v e D i re c t o r a nd Yu y a o C i t y X i ngb a ng Optoelectronic Instruments Company Limited is wholly-owned by his cousin, an associate. Accordingly, Yuyao City Xingbang Optoelectronic Instruments Company Limited is a connected person of the Company. (iv) Mr Ye is an executive Director and Yuyao City Xingli Optics Instruments Factory is wholly-owned by his brother-in-law, an associate. Accordingly, Yuyao City Xingli Optics Instruments Factory is a connected person of the Company. (v) Sunny Group, which is an associate of a Director and Substantial Shareholder, is a connected person of the Company under Rules 1.01 and 14A.11 of the Listing Rules and any transactions between the Group and Sunny Group shall constitute connected transactions under the Listing Rules. Pursuant to Rule 14A.38 of the defined the Listing Rules, the board of directors engaged the auditor of the Company to perform certain agreed upon procedures in respect of the continuing connected transactions of the Group. The auditor has reported the factual findings on these procedures to the Board. The independent non-executive Directors have reviewed the continuing connected transactions and the report of the auditor and have confirmed that the transactions have been entered into by the Company in the ordinary course of its business and in accordance with the terms of the agreement governing such transactions that are fair and reasonable and in the interests of the shareholders of the Company as a whole. The purchase of raw materials from each of the companies, Yuyao City Jiahua Optoelectronic Components Factory, Yuyao City Urban Fanxing Electrical Appliance Factory and Yuyao City Xingli Optics Instruments Factory, during the year did not exceed the aggregate annual cap for the financial year ended 31 December 2007, namely RMB900,000. The purchase and sales of raw materials from/to Yuyao City Xingbang Optoelectronic Instruments Company Limited did not exceed the aggregate annual cap namely RMB2.2 million for the year ended 31 December 2007. Both the rents payable for facilities and ancillary facilities to Sunny Group during the year did not exceed the aggregate annual cap namely RMB1.5 million and RMB2.5 million respectively for the year ended 31 December 2007. 關連人士 (i) 王先生為董事會主席兼執行董事，而餘 姚市佳華光電配件廠由其胞姊╱妹的配 偶（為聯繫人）全資擁有。因此，餘姚市 佳華光電配件廠為本公司關連人士。 (ii) 吳先生為執行董事，而餘姚市城區範興 電器廠由其配偶的姪兒（為聯繫人）全資 擁有。因此，餘姚市城區範興電器廠為 本公司關連人士。 (iii) 吳先生為執行董事，而餘姚市興邦光電 儀器有限公司由其表兄╱弟╱姐╱妹（為 聯繫人）全資擁有。因此，餘姚市興邦光 電儀器有限公司為本公司關連人士。 (iv) 葉先生為執行董事，而餘姚市興立光學 器材廠由其姐╱妹夫（為聯繫人）全資擁 有，故餘姚市興立光學器材廠為本公司 關連人士。 (v) 舜宇集團為董事兼主要股東的聯繫人， 故根據上市規則第 1.01 條及 14A.11 條規 定 為 本 公 司 關 連 人 士，而 根 據 上 市 規 則，本集團與舜宇集團間的任何交易亦 屬於關連交易。 根據上市規則第 14A.38 條，董事會已聘用本公 司核數師對本集團的持續關連交易執行若干協 定程序。核數師已向董事會報告進行該等程序 所得實際結果。獨立非執行董事已審閱持續關 連交易及核數師報告，並確認上述持續關連交 易由本公司於一般業務過程中訂立，且按一般 商業條款及就該等交易的協議條款進行，有關 條款屬公平合理，並符合本公司股東之整體利 益。 年內向餘姚市佳華光電配件廠、餘姚市城區範 興電器廠及餘姚市興立光學器材廠各公司購買 原料並無超出截至二零零七年十二月三十一 日止財政年度的年度上限總額人民幣 900,000 元。向餘姚興邦光電儀器有限公司購買及出售 原材料並無超出截至二零零七年十二月三十一 日止年度上限總額為人民幣 2,200,000 元。向舜 宇集團租賃生產設施年度上限也未超過上限總 額人民幣 1,500,000 元。向舜宇集團租賃配套 設施年度上限亦無超過截至二零零七年十二月 三十一日止年度上限總額人民幣 2,500,000 元。
