Directors’ Report 董事會報告 58 Sunny Optical Technology (Group) Company Limited 舜宇光學科技（集團）有限公司 (4) Mr. Wu Jinxian is a beneficiary under the Sunny Employee Trust, under which he is entitled to 2.81% of the beneficial interest. As a beneficiary of the trust, he is deemed to be interested in all the equity interest that Sunny Employee Trust owns under the SFO. Sun Ji owns 92.32% equity interest in Sun Xu, which in turn owns 421,460,060 shares of the Company. As a controlling shareholder, Sun Ji is deemed to be interested in all the shares that Sun Xu owns under the SFO. Accordingly, Mr. Wu Jinxian is deemed to be interested in 421,460,060 shares under the SFO. Other than as disclosed above, none of the Director, chief executives had any interests or short positions in any shares, underlying shares or debentures of the Company or any of its associated corporations as of 31 December 2007. Share Option Scheme On 25 May 2007, the Company adopted a share option scheme (the “Scheme”) for the purpose of providing incentives and rewards to eligible participants who contribute to the success of the Company. Eligible participants of Scheme include, without limitation, employees, Directors and shareholders of the Group. Up to 31 December 2007, no share option has been granted or agreed to be granted to any person or exercised by any person under the Scheme. Purchase, Sale or Redemption of the Company’s Shares The Company is empowered by the applicable Companies Law of the Cayman Islands and the Articles of the Association to repurchase its own shares subject to certain restrictions and the Board may only exercise this power on behalf of the Company subject to any applicable requirements imposed from time to time by the Stock Exchange. There was no purchase, sale or redemption by the Company or any of its subsidiaries, of the Company’s listed shares during the period from the Company's Global Offering to 31 December 2007. Directors’ Interests in Significant Contracts No significant contract, to which the Company, its holding company, its controlling shareholder, fellow subsidiaries or subsidiaries was a party and in which a director of the Company had a material interest, whether directly or indirectly, subsisted at the end of the year or at any time during the year. (4) 吳進賢先生為舜宇僱員信託的受益人，實益擁有 當中的 2.81% 權益。根據證券及期貨條例，彼作 為信託受益人，視為擁有舜宇僱員信託所持全部 股權。舜基擁有舜旭 92.32% 股權，而舜旭擁有 421,460,060 股股份。根據證券及期貨條例，舜基 作為控權股東視為擁有舜旭所擁有的全部股權。 因此，根據證券及期貨條例，吳進賢先生視為擁 有 421,460,060 股股份。 除 上 文 所 披 露 者 外，於 二 零 零 七 年 十 二 月 三十一日，概無董事及主要行政人員擁有本公 司及其相聯法團的股份、相關股份及債券的其 他權益及淡倉。 購股權計劃 於二零零七年五月二十五日，本公司採納的購 股權計劃（「計劃」）目的為對本公司的成功有 重大貢獻的合資格參與者提供鼓勵和獎勵。 合資格的參加者包括（但不限於）僱員、董事 和本集團股東。截至二零零七年十二月三十一 日，本計劃並無授出及同意授出購股權予任何 人士，亦無任何人士已行使可購股權。 購買、出售或贖回本公司股份 根據開曼群島公司法和本公司章程細則，本公 司可在若干限制下購回本公司的股份，惟董事 會代表本公司行使該項權力時，必須符合聯交 所不時實施的任何適用規定。自本公司全球發 售起至二零零七年十二月三十一日止，本公司 或其任何附屬公司概無購買、出售或贖回本公 司之上市股份。 董事於重大合約權益 本公司、其控股公司、控股股東、附屬公司或 同系附屬公司概無訂立於本年年底或年內任何 時間仍然有效生效而本公司董事於其中（不論 直接或間接）擁有重大利益的重大合約。
