The PRC Investor Trust is a trust on the entire issued share capital of Sun Zhong, which in turn owns 5.79% of the issued share capital of the Company. Accordingly, Mr. Wang Wenjian is deemed to be interested in 57,940,940 shares under the SFO. (2) Mr. Wang Wenjian is the trustee and one of the beneficiaries of the Sunny Employee Trust. The Sunny Employee Trust is a trust on the entire issued share capital of Sun Ji. Sun Ji owns 92.32% equity interest in Sun Xu, which in turn owns 42.15% of the issued share capital of the Company. Accordingly, Mr. Wang Wenjian is deemed to be interested in 421,460,060 shares under the SFO. (3) Mr. Ye Liaoning is a beneficiary under the Sunny Employee Trust, under which he is entitled to 6.20% of the beneficial interest. As a beneficiary of the trust, he is deemed to be interested in all the equity interest that Sunny Employee Trust owns under the SFO. Sun Ji owns 92.32% equity interest in Sun Xu, which in turn owns 421,460,060 shares of the Company. As a controlling shareholder, Sun Ji is deemed to be interested in all the shares that Sun Xu owns under the SFO. Accordingly, Mr. Ye Liaoning is deemed to be interested in 421,460,060 shares under the SFO. 董事及主要行政人員擁有的股 份權益及淡倉 於二零零七年十二月三十一日，根據本公司 按證券及期貨條例第 352 條存置之登記冊所記 錄，或根據《上市公司董事進行證券交易之標 準守則》而須知會本公司及香港聯合交易所有 限公司之規定，董事及主要行政人員擁有本公 司或其相聯法團（定義見證券及期貨條例第 XV 部）的股份、相關股份及債券的權益及淡倉如 下： 附註： (1) 王文鑒先生為中國投資者信託的受託人。中國投 資者信託為舜眾全部已發行股本的信託，因而擁 有本公司已發行股本 5.79% 。因此，根據證券及 期貨條例，王文鑒先生視為擁有 57,940,940 股股 份。 (2) 王文鑒先生為舜宇僱員信託受託人及受益人之 一。舜宇僱員信託為舜基全部已發行股本的信 託，而舜基持有舜旭 92.32% 股權，因而擁有本公 司已發行股本 42.15% 。因此，根據證券及期貨條 例，王文鑒先生視為擁有 421,460,060 股股份。 (3) 葉遼寧先生為舜宇僱員信託的受益人，實益擁有 當中 6.20% 權益。根據證券及期貨條例，彼作為 信託受益人，視為擁有舜宇僱員信託所持全部 股權。舜基擁有舜旭 92.32% 股權，而舜旭擁有 421,460,060 股本公司股份。根據證券及期貨條 例，舜基作為控權股東視為擁有舜旭所擁有的全 部股權。因此，根據證券及期貨條例，葉遼寧先 生視為擁有 421,460,060 股股份。
