Annual Report 2007 年報 49 DTT will retire and offer themselves for re-appointment at annual general meeting of the Company to be held on 21 May 2008. The re-appointment of DTT as the external auditor of the Group has been recommended by the Audit Committee and endorsed by the Board, subject to approval shareholders in the forthcoming annual general meeting. Financial Reporting The Directors are responsible for keeping proper accounting records and preparing the financial statements which give a true and fair view of the state of affairs of the Company and its subsidiaries, in accordance with Hong Kong Financial Reporting Standards and the disclosure requirements of the Hong Kong Companies Ordinance. In preparing the financial statements for the year ended 31 December 2007, the Directors have made judgments and estimates that are prudent and reasonable and prepared the financial statements on a going concern basis. Management has provided such explanation and information to the Board as would enable the Board to make an informed assessment of the financial and other information before the Board for approval. The statement by the auditors of the Company about their responsibilities for the financial statements is set out in the report of the auditors contained in this Annual Report. The Board’s responsibility to present a balanced, clear and understandable assessment extend to annual and interim reports, other price-sensitive announcements and other financial disclosures required under the Listing Rules, and reports to regulators as well as information required to be disclosed pursuant to statutory requirements. 德勤會於二零零八年五月二十一日舉行的股東 週年大會退任並願意獲得續聘。審核委員會建 議續聘德勤為本集團外聘核數師，而董事會亦 贊同有關建議，惟須待股東於應屆股東週年大 會批准方可作實。 財務申報 董事負責保存正式會計紀錄，並根據香港財務 報告準則及香港公司條例的披露規定編製可真 實反映本公司及其附屬公司狀況的財務報表。 編製截至二零零七年十二月三十一日止年度 的財務報表時，董事作出審慎合理的判斷和估 計，並按持續一致的基準編製財務報表。 管理層已向董事會提供解釋及資料，使董事會 在審批時可對財務及其他資料作出知情評核。 本公司核數師有關財務報表的責任陳述載於本 年報核數師報告。 董事會呈列公正清晰及易明的評估之責任適用 於年報及中期報告、其他股價敏感資料及其他 根據上市規則的規定須作出的財務披露、向監 管人員提交報告以及根據法定規則須予披露的 資料。
