JARDINE MATHESON INSURANCE SUBSIDIARY MERGER DECLARED UNCONDITIONAL
10th February 1997 -- Jardine Matheson Holdings Limited today confirmed that the merger between its insurance broking subsidiary, JIB Group plc, and Lloyd Thompson Group plc had been declared unconditional in all respects and on Friday 7th February 1997 the new company's shares were admitted to the Official List of the London Stock Exchange.
As at 3.00pm on Thursday 6th February Lloyd Thompson had received
valid acceptances in respect of over 90 per cent of the issued
share capital of JIB. This followed the passing of the required
resolutions at Lloyd Thompson's extraordinary general meeting
held on the same day.
Jardine Matheson has a 34% interest in the enlarged group, called
Jardine Lloyd Thompson Group plc.
Commenting on the completion of the transaction, Jardine Matheson
Managing Director, Alasdair Morrison, said: "Jardine Lloyd
Thompson will build on JIB's leading position in the Asia Pacific
Region and on Lloyd Thompson's highly rated presence in the London
market. The merger has created a stronger, more competitive business,
better placed to serve the needs of its clients and to extend
its leadership positions in existing markets."
