NOTICE IS HEREBY GIVEN that the Annual General Meeting of Silver Grant International Industries Limited (the "Company") will be held at Boardroom I, Mezzanine Floor, Grand Hyatt Hong Kong, 1 Harbour Road, Wanchai, Hong Kong on Monday, 28th June, 1999 at 9:15 a.m. for the following purposes:-

1. To receive and consider the audited Financial Statements and the Reports of the Director and Auditors for the year ended 31st December, 1998.

2. To re-elect the retiring Directors and fix the Directors' fees.

3. To appoint auditors and authorise the Directors to fix their remuneration.

To be valid, a form of proxy, together with the power of attorney or other authority, if any, under which it is signed or a notarially certified copy of that power or authority, must be deposited at the registered office of the Company, Suite 4901, 49th Floor, Office Tower, Convention Plaza, 1 Harbour Road, Wanchai, Hong Kong not less than 48 hours before the time for holding the meeting.
