The board of directors (the "Board") of China Eastern Airlines Corporation Limited (the "Company") is pleased to announce further details regarding the 1999 annual general meeting (the "AGM") of the Company.
The AGM was held on 22 June, 2000 at Bai Hua Hall, Fourth Floor, 2nd Door, Pine City Hotel, 8 Dongan Road, Shanghai, the People's Republic of China (the "PRC"). At the AGM, the shareholders of the Company passed the following resolutions as ordinary resolutions:
1. approval of the working report of the Board for the year ended 31 December, 1999;
2. approval of the working report of the Supervisory Committee of the Company for the year ended 31 December, 1999;
3. approval of the audited financial statements of the Company and the reports of the auditors of the Company for the year ended 31 December, 1999;
4. approval of the Company's profit distribution proposal for the year ended 31 December, 1999;
5. approval of the re-appointment of Shanghai Zhonghua Certified Public Accountants as the Company's PRC auditors for the year ending 31 December, 2000 and PricewaterhouseCoopers, Certified Public Accountants, Hong Kong, as the Company's international auditors for the year ending 31 December, 2000 and authorization of the Board to determine their remuneration;
6. approval of the resignation of Messrs. Fu Yunbi, Xu Minzhu and Yan Banghong as directors of the Company;
7. approval of the appointment of Messrs. Shen Zejiang, Xiao Liyuan and Zhou Ruijin as directors of the Company and authorise the Board to fix their remuneration;
8. approval of the resignation of Messrs. Xiao Liyuan and Qin Yaping as supervisors of the Company; and
9. approval of the appointment of Messrs. Li Wenxin and Liu Jiashun as supervisors of the Company and authorise the Board to fix their remuneration.
